
1. Agreement to Terms
By accessing or using our website, services, or engaging with CMKA Consulting (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.
2. Services Overview
CMKA Consulting provides:
Business consulting and operational advisory
CRM setup, automation, and system design
Strategic guidance on team structure, workflows, and scaling
Digital assets, templates, and implementation support
We reserve the right to modify, update, or discontinue any service at any time without prior notice.
3. No Guarantees of Results
We do not guarantee specific results, including but not limited to:
Revenue increases
Lead generation outcomes
Business growth or profitability
You acknowledge: Results depend on execution, market conditions, and variables outside our control.
4. Client Responsibilities
You agree to:
Provide accurate and complete information
Participate in implementation where required
Execute strategies and recommendations in a timely manner
Failure to do so may impact results, and the Company is not responsible for outcomes resulting from inaction or misapplication.
5. Payment, Refunds, and Cancellation
All fees are agreed upon prior to engagement and may be one-time, recurring, or milestone-based.
Limited Refund Window
Clients may request a refund within three (3) calendar days of the date of signing the agreement or initial payment (whichever occurs first), provided that:
No substantial work has begun
No strategy, consulting session, or implementation has been delivered
No access to proprietary materials, systems, or assets has been granted
Initiation of services includes, but is not limited to:
Strategy sessions or consulting calls
CRM setup, automation, or system configuration
Communication of deliverables or recommendations
Granting access to any Company-owned materials or systems
If any services have been initiated within this period, the refund becomes null and void.
No Refunds After Initial Period
After the three (3) day period, all payments are non-refundable. Due to the nature of consulting and digital implementation, value is delivered through time, expertise, intellectual property, and strategic direction.
Cancellation
Cancellation is governed strictly by the terms outlined in your written agreement. If no agreement specifies cancellation terms, a minimum 30-day written notice is required.
Early termination may result in:
Immediate termination of services
Loss of access to deliverables and systems
Remaining balances becoming due
Late Payments
Late or missed payments may result in suspension or termination of services.
Chargebacks & Payment Disputes
You agree not to initiate chargebacks or payment disputes without first attempting resolution.
If a chargeback is initiated:
All services will be immediately suspended or terminated
Access to systems, CRM builds, automations, and assets may be revoked
We reserve the right to recover funds, associated fees, legal costs, and damages
6. Intellectual Property
All materials provided—including SOPs, CRM builds, workflows, templates, and documentation—remain the intellectual property of CMKA Consulting unless otherwise agreed in writing.
You are granted a limited, non-transferable license for use within your business only.
You may not resell, redistribute, or repackage any materials without prior written consent.
7. Confidentiality
Both parties agree to maintain confidentiality of:
Business strategies
Internal processes
Financial information
Client data
This obligation survives termination of services.
8. Third-Party Tools & Platforms
We may utilize third-party platforms (e.g., GoHighLevel, ClickUp, Slack, and similar tools).
We are not responsible for:
Platform outages or downtime
Integration failures
Changes in third-party systems or policies
Use of these tools is subject to their respective terms and conditions.
9. AI & Automated Communication Disclosure
We utilize artificial intelligence (AI), automation tools, and third-party technologies to enhance service delivery.
This may include:
Automated messaging (email, SMS, chat, or voice)
AI-assisted communication and responses
Appointment scheduling and follow-ups
Workflow automation and data processing
By using our services, you acknowledge that:
Some communications may be AI-generated or assisted
Responses may not always be human-reviewed in real time
Errors, delays, or misinterpretations may occur
You are responsible for verifying critical information when necessary.
CMKA Consulting is not liable for decisions made based on automated or AI-assisted communications.
10. Termination
We reserve the right to terminate services if:
These Terms are violated
Payment is not received
Communication breaks down
The working relationship becomes unproductive or misaligned
Clients may terminate services only in accordance with their written agreement.
11. Limitation of Liability
To the maximum extent permitted by law, CMKA Consulting shall not be liable for:
Indirect or consequential damages
Loss of revenue, profits, or data
Business interruption
This includes any actions taken based on AI or automated communications.
Total liability shall not exceed the total amount paid for services.
12. No Partnership or Employment
Nothing in these Terms creates:
A partnership
Joint venture
Employer-employee relationship
We operate strictly as an independent contractor.
13. Indemnification
You agree to indemnify and hold harmless CMKA Consulting from any claims, damages, or losses arising from:
Your use of services
Your business operations
Your implementation of strategies or systems
14. Governing Law
These Terms shall be governed by the laws of the State of Indiana, without regard to conflict of law principles.
15. Changes to Terms
We reserve the right to update or modify these Terms at any time.
Continued use of our services constitutes acceptance of any updated Terms.
